These Terms and Conditions (the “Terms of Use”) apply to the Room to Read® (“Room to Read”) web  site located at www.SheCreatesChange.org and all associated sites linked to such websites by Room to  Read (collectively, the “Site”). The Site is the property of Room to Read. BY USING THE SITE, YOU AGREE  TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Room to Read Content

All materials, text, graphics, interfaces, videos, films, podcasts, curricula, documentation, plans, guides,  images, audio files, content, trademarks, logos, sounds, music, artwork, lesson plans and software  (collectively, “Content”) included or made available on the Site is owned or licensed by Room to Read  and is protected by copyright, trade dress, patent and trademark laws, and various other intellectual  property rights.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied,  reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or  distributed in any way for publication or distribution or for any purpose, without Room to Read’s prior  written consent.

From time to time, Room to Read may make certain Content available for downloading (“Downloaded  Content”). You will ensure that any information provided to Room to Read in connection with obtaining  access to such Downloaded Content is complete, truthful and accurate. Downloaded Content may only  be used for the following purposes, in all cases, on a non-commercial basis: (a) as educational tools to  further Room to Read’s mission of creating a world free from illiteracy and gender inequality through  education and its related programs in support of such mission (together, the “Mission”), (b) to assist  Room to Read in its fundraising efforts, for the benefit of Room to Read only, and (c) create awareness  of the Mission, provided that you do not make any commitments, representations or warranties to third  parties relating to such Content or on behalf of Room to Read. Nothing in this Agreement grants you a  right to bind Room to Read or act as Room to Read’s agent or representative, or purport to do so.

All Content other than the Downloaded Content may only be used for your personal non-commercial  information purposes only and may not be copied, displayed or performed by you.

Notwithstanding anything in these Terms of Use, you may not modify (including by removing or  obscuring any notices) or create derivative works of the Site or its Content, without Room to Read’s  prior written consent. Even if such consent is provided, any such modification or derivative works shall  retain the integrity and quality of the Content, and be consistent with the Mission.

You shall indemnify and hold Room to Read and its affiliates, and their officers, directors, employees,  subcontractors, agents, successors and assigns, harmless from any demands, loss, liability, claims or  expenses (including attorneys’ fees), made against Room to Read by any third party due to or arising out  of or in connection with your use of the Site or any Content.

The following is a non-exhaustive list of Room to Read’s trademarks and service marks. The absence of  a product or service name or logo from this list does not constitute a waiver of Room to Read’s  trademark or other intellectual property rights concerning that name or logo.

Uploading Material to the Site

Any content you upload to the Site will be considered non-confidential and non-proprietary, and Room  to Read has the right to use, copy, distribute and disclose to third parties any such content for any  purpose. You represent, warrant, and shall ensure that any content uploaded by you does not infringe,  violate or misappropriate any third party’s rights. Room to Read also has the right to disclose your  identity to any third party who is claiming that any content posted or uploaded by you to the Site  constitutes a violation of their intellectual property rights, or of their right to privacy.

Room to Read will not be responsible, or liable to any third party, for the content or accuracy of any  materials posted by you or any other user of the Site.

Room to Read has the right to remove any content or posting you make on the Site, if, in our opinion,  such material is not suitable for the Site.

Linking

You may provide hot links to this Site provided: (a) you do not remove or obscure, by framing or  otherwise, advertisements, the copyright notice, or other notices on this Site; (b) you give Room to Read  notice of such link by sending an e-mail to; and (c) you discontinue providing hot links to this Site if  notified by Room to Read.

Use of Site

You may not and may not attempt to: (a) use any automatic device, program, algorithm or  methodology, or any similar process (manual or otherwise), to access, extract or monitor any portion of  the Site or any Content, (b) gain unauthorized access to any portion or feature of the Site, or any other  systems or networks connected to the Site, (c) take any action that imposes an unreasonable or  disproportionately large load on the Site or its related or connected servers or systems, (d) use any  device, software or routine to interfere or attempt to interfere with the proper working of the Site, (e)  pretend that you are, or that you represent, someone else who is not you, or impersonate any other  individual or entity when providing information to Room to Read in connection with the Site or Content,  (f) use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or  (g) export or re-export any Content or any copy, modification or derivative thereof in violation of any  applicable laws or regulations, including export laws and regulations.

THIS SITE AND THE CONTENT ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS AND ROOM TO READ  EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS  FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Governing Laws in Case of Dispute; Jurisdiction

All matters relating to your access to or use of the Site or Content, including all related disputes, will be  governed by the laws of the United States and by the laws of the State of California, USA without regard  to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and  federal courts in the State of California, USA, and waive any objection to such jurisdiction or venue. Any  claim under these Terms of Use must be brought within one year after the cause of action arises, or  such claim or cause of action is barred.

Changes to Site and these Terms and Conditions

This Site and these Terms of Use may be changed by Room to Read with or without notice. Please  review this link on a regular basis for changes. Continued use of this Site or any Content following any  change constitutes your acceptance of the change.

Entire Agreement; Severability

These Terms of Use incorporate by reference any notices contained on this Site or Content and  constitute the entire agreement with respect to your access to and use of this Site. If any provision of  these Terms of Use is unlawful, void, or unenforceable, then that provision shall be limited or eliminated  to the minimum extent necessary and replaced with a valid provision that best embodies the intent of  these Terms of Use, so that these Terms of Use shall remain in full force and effect.

Mississippi: The official registration and financial information of Room to Read may be obtained from  the Mississippi Secretary of State’s office by calling 1-888-236-6167. Registration by the Secretary of  State does not imply endorsement by the Secretary of State.

New Jersey: INFORMATION FILED WITH THE ATTORNEY GENERAL CONCERNING THIS CHARITABLE  SOLICITATION AND THE PERCENTAGE OF CONTRIBUTIONS RECEIVED BY THE CHARITY DURING THE LAST  REPORTING PERIOD THAT WERE DEDICATED TO THE CHARITABLE PURPOSE MAY BE OBTAINED FROM  THE ATTORNEY GENERAL OF THE STATE OF NEW JERSEY BY CALLING (973) 504-6215 AND IS AVAILABLE  ON THE INTERNET AT http://www.state.nj.us/lps/ca/charfrm.htm. North Carolina: Financial information about this organization and a copy of its license are available from  the State Solicitation Licensing Branch at 1-888-830-4989 (within North Carolina) or 919-807-2214  (outside of North Carolina). The license is not an endorsement by the State.

Pennsylvania: The official registration and financial information of Room to Read may be obtained from  the Pennsylvania Department of State by calling toll-free, within Pennsylvania, 1-800-732-0999.  Registration does not imply endorsement.

Virginia: A copy of Room to Read’s financial statement is available from the State Office of Consumer  Affairs, Department of Agriculture and Consumer Services, PO Box 1163, Richmond, VA 23218.
